Governance matters - update

As reported previously, after exactly three years in the role, this summer Richard Snowball relinquished the role of Trust Chair.  Having now reviewed the situation, and with none of the other existing Trust Board members volunteering to take on the role, the Trust Board has re-allocated the responsibilities.  So, for the time being, the Trust will operate without a nominated Chair, albeit the responsibilities will be fulfilled by various other Trust Board members.  The situation will be reviewed again after the Trusts AGM.


 


The Trust has also recently undertaken a process to identify if any other Trust Board members wanted to be considered for appointment as a Club Director.  At this time, other than Steve Beck and Sophie McGill who continue in their Trust/Club roles, there was no other Trust Board member who wanted to be considered for appointment as a Club Director.  Hence, the Club Board will remain at six-strong, each of the Directors being Trust Members and each having been appointed as a Club Director by the elected Trust Board.  Having now run the process, the Trust Board has fulfilled the requirements as set out in the governance framework, which had originated from the members resolution passed at last years AGM.  As emphasised at the time, in a framework that is reliant on the efforts of volunteers, flexibility is required and so-called parity cannot be an absolute requirement as it is subject to there being willing and able volunteers to take on the responsibilities of being a company director.  It is important that the Club has an effective Board of Directors and that there is an effective relationship with the overseeing Trust Board; a relationship that is achieved in a variety of ways.
