Update on implementation of AGM resolutions

At the Trusts AGM in December 2004, there were two members resolutions.  The first related to the process of appointment of people by the Trust to the Club Board.  The second resolution related to the process, if required, for identifying a Club Chairman.  Both resolutions were recommended for approval by the Trust Board and were duly supported by the membership.  As stated at the time, it is intended that the resolutions will be formally incorporated into the governance framework that is being developed.


 


The arrangements for the Club to gain ownership of Bootham Crescent were finally completed in mid-February 2005.  Following completion of Project Gold, the Trust Board will now work towards the finalisation and publication of the wide-ranging corporate governance review (known as Project Spirit).  Indeed, working together with the Club Board, the Trust Board has already undertaken some steps towards implementing the processes that were approved by the members in December and an update for members is set out below.


 


Process for identifying a Club Chairman.


 


As set out at the AGM, the process for identifying who, if anyone, is nominated as Club Chairman is as follows:


i) seek to identify whether there is a willing and able person (or persons) from the Trust Board who is prepared to volunteer to be a Director of York City Football Club Limited and to be appointed with the title and responsibilities of Club Chairman; and


ii) if such a person(s) is identified, the Trust Board should advise the Club Directors; and


iii) if a person is identified for appointment as Chairman of the Club Board who is not also an elected Trust Board member, the Trust will carry out a vote of its members about the appointment by way of a postal ballot or at a general meeting.


 


In February 2005, the Trust Board carried out the process as outlined above and now reports back to the members.  Currently, there is no Trust Board member willing to volunteer to be a Director of York City Football Club Limited with the title and responsibilities of Club Chairman.  Currently, there are two Trust Board members Steve Beck and Sophie McGill - who also serve as York City Directors.  Both Steve and Sophie have indicated to the Trust Board that they are willing to continue as a Director of York City with their existing titles and responsibilities, namely Youth Development & Fans Liaison Director and Communications & Community Director respectively.


Currently, none of the other existing Club Board members Terry, Ian and Jason - want to have the title of Club Chairman.  As announced previously by the Club Board, for the time being the current Club Board has determined that there is no necessity for one of their number to carry the title of Club Chairman.  At present, the roles and responsibilities of the Club Directors have been organised in such a way that none of them carries the title of Club Chairman.  The perception of the traditional autocratic football club chairman is not one that fits with the democratic approach being developed at York City.  In addition, the title of Club Chairman is not something that can be forced onto any one volunteer.


The matter will be reviewed by the Trust and Club Boards on a periodic basis.


 


Appointment of Directors to the Club Board


The resolution approved at the AGM gave directions to the Trust Board to include within the governance framework the following matters in relation to the appointment of Directors to the Club Board:


i) to seek to have, at any one time, a strong presence of willing and able Trust Board members prepared to volunteer to be Directors of York City Football Club Limited; and


ii) to supplement the overall effectiveness of the Club Board with the skills and experience of other volunteers; and


iii) aim to have on the Club Board at least as many Directors who are also elected Trust Board members as other Directors, to the extent possible and appropriate to the overall effectiveness of the Club Board.


 


Currently, the Club Board have indicated a desire for a new Commercial Director.  The position has been advertised and is open to anyone whether a member of the Trust or not who believes they have the appropriate skills and commitment to help York City Football Club.  There are Trust Board members who have indicated they would be willing to serve on the Club Board in this capacity.  If anyone else is interested in volunteering for this role and would like to know more, please contact any Trust or Club Board member.  Further details about the role of Commercial Director are set out at www.ycst.org.uk .  The closing date for applications is 19 March 2005.  Please include a brief CV with your application.


 


Working together with the Club Board, the Trust Board will carry out a selection process to try and identify a new Club Director.  We will aim to further enhance the overall effectiveness of the Club Board.  The considerations by the Trust/Club will include the matters set out in the members resolution described above.


 


As described for the AGM, whilst it is a reasonable aim to have on the Club Board at least as many Directors who are also elected Trust Board members as other Directors (so-called parity), this cannot be an absolute requirement and is subject to acting in the overall best interests of York City.  If the appointee as Commercial Director is also a current serving member of the Trust Board, the aim of parity will have been achieved.   If the appointee is not a member of the Trust Board, the parity issue will be further addressed at that stage. The Trust/Club will provide further information in due course about the process.
