2nd Dec AGM letter sent to Trust members

The Trust has sent out a letter to all members regarding the upcoming AGM and Fans Forum on Thursday 2nd December 2004 (7pm start).


The mailing to members of York City Supporters Society Limited (the Trust) includes:


i)                     Notice of the Trusts third AGM and an outline of the agenda; and


ii)                   Details of two resolutions proposed by a member (which can be voted on by you, in person at the Meeting, or by you appointing a proxy by completing the attached form).

Agenda for the Annual General Meeting


The Trusts AGM will be held at The Tempest Anderson Hall, Museum Gardens, York on Thursday 2nd December 2004 (7:00pm start) for the purpose of considering the following business:



  1. To discuss the work and role of the Trust.  Including a summary of the work of the Trust in the last year and the relationship between the Trust and the Club.

  2. To receive the Trusts Audited Accounts for the year ended 30 June 2004;

  3. To re-appoint Robinson & Co as Auditors of the Trust until the conclusion of the next AGM;

  4. To ratify the appointment to the Trust Board of four members (Steve Beck, Mike Grant, David Potter and Richard Snowball);

  5. To consider the two resolutions (described in an appendix to the letter) proposed and seconded by members of the Society and recommended for approval by your Trust Board; and

  6. Any other business

Voting


Voting for the resolutions is being conducted by a poll of members present at the AGM in person or by proxy.  If members are attending the AGM they can vote in person at the meeting.  Entrance to the meeting is on a first come basis.  If members are unable to attend the AGM, they can vote by completing and returning the a proxy form by Monday 29th November. 


Club Fans Forum


Following the AGM, there will be a Fans Forum.  Members of the Club Board will attend and take questions from those present.  Expected finish by 10pm.  If you are unable to attend the Fans Forum, but you have a question you would like to be raised on the evening, please provide details of your question by writing to the Trust Secretary.


The Trusts Annual Report and Financial Statements


The Trusts second financial period is for the year to 30 June 2004.  The Financial Statements for this period were approved on behalf of the Trust Board and signed by the Independent Auditors (York-based Robinson & co) in October 2004.  A full copy is enclosed with the letter to members and is also available via www.ycst.org.uk .


Members resolutions


The Trust Board welcomes the views of members on all aspects relating to the Trust and the Club and, through the proposals from Matthew Flint, welcomes the interest demonstrated in the corporate governance framework at York City.  There are two resolutions and these are set out, together with explanatory statements from both Matthew Flint and the Club Board, in Appendix A to the letter sent to members.  The first resolution relates to the process of appointment of people by the Trust to the Club Board.  The second resolution relates to the process, if required, for identifying a Club Chairman.  Both resolutions are recommended for approval by the Trust Board and, if supported by the membership, will be incorporated into the governance framework that is being developed.
